Corporations Code Section 25116

Our review of the annotated history reveals the following legislative history (every “c.” below represents a separate legislative bill):

Added: 1983, c. 859
Amended:
•  1994, c. 1064 (A.B.3649) – inserted “or Chapter 3 (commencing with Section 25120)” following “chapter”; substituted “its purchaser” for “the purchaser thereof”; deleted “State” prior to “Constitution”; and made nonsubstantive changes.
•  1996, c. 477 (A.B.3061) – designated the existing text as subd. (a); in subd. (a), in the first sentence, substituted “the purchasers or holders thereof” for “its purchaser” and, in the second sentence, inserted “transactions and” following “authorizes a class of”; and added subd. (b), relating to an evidences of indebtedness determined to be securities.
